These Terms of Use (the “Terms”) set forth the terms that apply to the access and use of the website, i.e. www.amritslesha.com (the “Platform”) and the Services rendered thereof. The Platform is owned and operated by AMRIT SLESHA AYURVEDA (the “Entity”), a sole proprietorship concern. The Entity runs the Platform which is an ayurvedic clinic i.e., it uses software, technology and technical knowledge related to Ayurveda to render ayurveda services to individuals (the “Business”). Users are requested to carefully read these Terms prior to accessing, browsing, or using the Platform. Accessing, browsing, or using the Platform by the Visitors or Users, shall be deemed to constitute their acceptance of these Terms and an undertaking to be bound by its provisions.

This document is an “Electronic Record” in accordance with the provisions of the Information Technology Act, 2000, Government of India, and the rules thereunder as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information and Technology Act, 2000. This electronic record is generated by the computer system and does not require any physical or electronic signature. This document constitutes a legally binding agreement between the User and the Entity establishing the rights and obligations pertaining to the use of the Platform and availing the various Services, features, content, and offerings available on it.

The Entity reserves the right, at its sole discretion, to amend, modify, add, or delete portions of the Terms, at any time. It is your responsibility to check the Terms periodically for changes. Your continued use of the Platform following the amended Terms shall mean that you accept and agree to the edits. Kindly note, for the purpose of these Terms, the use of “We”, “Us”, and “Ours” refers to the Entity. Whenever the context so requires, “You”, “Your” or “User” shall mean any natural or legal person who browses through the Platform to gain information about the Entity and the Services offered by it.

1. DEFINITIONS AND INTERPRETATION

1.1 Definitions

1.1.1 “Applicable Laws” shall mean any statute, law, rule, regulation, ordinance, notification, order, decree, judgment, rule of common law, government approvals, byelaws, or other governmental restrictions or any administrative order or notice in effect as of the date of this Terms of Use or anytime thereafter that may be applicable or enforce in the Union of India.

1.1.2 “Services” shall mean the consultation, therapies and recommended ayurvedic medicine offered by the Entity

1.1.3 “Doctor” shall mean the resident doctor or the senior doctor who are registered under BAMS or MAMS, assigned to the User for providing consultation Services.

1.1.4 “Therapist” shall refer to the individual providing therapeutic Services as recommended by the Doctor.

1.1.5 “Platform” is the reference to Our Website through which We describe / offer Our Services.

1.1.6 “User” shall include any person accessing this Platform of the Entity. The term User is inclusive of the people who place an order for availing Services offered through the Platform.

1.1.7 “Working Days” shall mean the standard business days i.e., from Monday to Saturday except for any gazetted or national holiday.

1.1.8 “Working Hours” shall mean and include the normal working/ business hours on standard Working Days., determined by the Entity from time to time, displayed in the clinic or on the platform or on other promotional material.

1.2 Interpretation

Unless otherwise, the context requires in this Terms of Use:

1.2.1 The “User” and the “Entity” shall individually be referred to as the “Party” and collectively as the “Parties”.

1.2.2 Words denoting any gender shall be deemed to include those of the other gender.

1.2.3 Words using the singular or plural number also include the plural and singular, respectively.

1.2.4 The terms hereof, hereby, hereto, and derivative or similar words refer to this entire Terms or specified clause of the Terms as the case may be.

1.2.5 Heading or bold typeface is used only for the purpose of convenience and shall be ignored for the purpose of interpretation.

1.2.6 Reference to the word include shall be construed as without limitation.

1.2.7 Reference to any legislation or applicable law or any provision thereof shall refer to any such applicable law as amended, suspended, or re-enacted from time to time.

1.2.8 The headings provided herein are for convenience purposes only and shall not deem to affect or limit any of the provisions hereof.

2. GENERAL TERMS GOVERNING THE PLATFORM

2.1 These Terms are applicable to every person who accesses the Platform as a User to gain information about the Entity and the Services rendered thereof and the Users who have registered on the Platform to avail the Services.

2.2 For availing of the Services provided by the Entity through the Platform the User may visit the Website by filling in the requisite details or by logging in via their Google or Facebook account fill in there contact details and concerns. After getting the enquiry the entity shall follow-up with the User regarding the User’s concern.

2.3 After onboarding for availing of the Services provided by the Entity through the Platform the User can connect with Our Doctors for consultation after payment of the required “Consultation Fee.” The Doctor is available from Monday to Saturday, during business hours (currently between 10:00 a.m. to7:00 p.m.), however, in some cases, the last call can be addressed later, or on week ends, subject to availability and convenience of all parties.

2.4 The User is requested to provide personal details along with complete health information including but not limited to pulse, blood pressure, ongoing allopathic medicines, any ongoing medical treatment, work profile and any other detail requested by the Doctor.

2.5 Any Consultation Fee paid by the User shall be valid for 15 days and the User may request multiple Consultations for the same medical issue; during these 15 days. However, the User will have to pay extra Consultation Fees if the User seeks Consultation for a different issue.

Explanation: If User A signs up for a Consultation regarding knee pain on November 1st 2025, he/she may seek multiple Consultation until November 15th 2025 for knee pain only. Mr. A will have to pay additional Consultation Fees if he/she wishes to seek Consultation for ankle pain.

2.6 Any request made to book a Consultation with our Doctors shall be with the Director / Administrator, unless otherwise advised by the Entity.

2.7 All Services and other information displayed on the Platform constitute an “invitation to offer”. Your order for availing the Services available on the Platform by raising a purchase order shall constitute an “Offer”. The Entity reserves the right to accept or reject this offer, based on several factors as per the sole discretion of the Entity and our confirmation of your order shall constitute the “acceptance of offer”.

2.8 For using the Services, the User agrees that he/she is eligible to enter into legally binding contracts under applicable law. Persons who are “incompetent to contract” within the meaning of the Indian Contract Act, 1872 are not eligible to enter into transactions with the Entity, and their access will be restricted or blocked as soon as the Entity becomes aware of the same. We reserve the right to terminate your order and refuse to provide you with access to the Platform and Services rendered thereof as soon as the We discover that You are below 18 years of age or do not have the required approval from Your parents/legal guardian.

2.9 In the event of any misbehavior with the Doctors, Staff or our Therapists, no refund or cancellation of any kind will be initiated, and the Entity reserves the right to initiate appropriate legal proceedings against the individual or representative of the entity or the company doing such misbehavior.

3. SERVICES

The Entity provides the following Services through the Platform to its Users, which is including but not limited to:

3.1 Consultation: In accordance with clause 1.1.2 and 2.5 of this Policy if any User signs up for a Consultation through the Platform or through walk-in or through telephonic appointment, he/she shall receive the Consultation through our Resident Doctor/Senior Doctor, as soon as possible subject to the User’s availability and the availability of the Doctor.

3.2 Therapy: Upon successful completion of the Consultation, the Doctor(s) may advise a customised treatment plan, which may require the patient to undergo therapy provided by Our Therapists. The charges for each therapy shall vary depending upon the specific medical issues faced by the User and different products required for each of such Therapy.

3.2.1 The number of days required for each therapy may also vary depending on the medical issue of the User.

3.2.2 The User is required to pay 50% of the Therapy charges before the start of the Therapy session (for 7 or above days of therapy) and the other 50%, maximum on the third day of the therapy. For therpies of less duration, 100% of the Therapy charges be paid in advance.

3.2.3 The start date for the respective therapy session shall be conveyed to the User by Us. If for any reason the User is unavailable on the start date he/she shall promptly inform Us of the same. No rescheduling of Therapy shall be allowed on the start day of the Therapy session.

3.2.4 The User may decide not to proceed with the Therapy, until 2 Working Days before the start of Therapy session the User is entitled to 100% of refund of the fees paid for Therapy sessions. However, the User shall not be entitled to any refund at the start of the Therapy session or 1 day before the start of such session.

3.2.5 The fee paid by the User for the Therapy session shall include the cost of all the materials used for Therapy and the costs of the service provided by the Therapists. The fee for Therapy sessions does not include any medicines required to be used by the User, which the User has to purchase separately.

3.2.6 The User is required to adhere to all the advice given by the Doctors during the Consultation / Therapy and the advice to be followed after the session. The User is further advised to complete the entire session in one go and not break it into parts for best results, unless advised by the Doctors.

3.2.7 The User shall also follow all the protocols listed at the site of therapy session, or handed over to the User before the session. Not following the protocols shall lead to cancellation of the session and no, refund shall be provided to User in such case.

3.3 Ayurvedic Medicines: The Doctors after their Consultation may recommend medicines for the User specific to their health condition. The Therapy Fee does not include the cost of medicines. The User may decide to procure the said medicine from Us, which we procure from third parties, for the convenience of the Users. We will ship the Medicines, from reputed third parties, to the User upon additional “Shipping Costs” to be borne by the User.

3.3.1 The User shall not be entitled for any refund or cancellation once the order for such medicine is placed.

3.3.2 In case a User requires express shipping, he/she may choose a faster shipping method and schedule the pickup of medicine from our facility to the drop at their desired location. Any such costs for shipping are to be borne by the User only.

3.3.3 The User acknowledges that the Entity is not the producer of the medicines and procures them from a trusted third party. The User may chose to procure the medicine from any vendor of such medicines ensuring the authenticity of such vendor/supplier of medicines.

4. REGISTRATION AND ACCOUNT FOR USE OF SERVICES

4.1 For availing the Services of the Entity the User is either required to fill the customer information form listed on the Entity’s website and payment of the Consultation Fee; or provide a consultation or other fee directly at the Entity — if it is a walk-in / telephonic appointment.

4.2 Upon payment of the Consultation Fee a Doctor shall be assigned to the User for first Consultation.

Upon the recommendation of the Doctor’s the User will be guided for the Therapy sessions and the fees for such sessions. The User upon payment of such fees shall be entitled for the Therapy sessions. All such sessions shall be conducted in Hyderabad and the Entity is not liable for any travel or accommodation borne by the User for any such travel or accommodation. Furthermore, the fees paid by the User for Therapy sessions only includes the materials used to provide Therapy and the cost of the Therapists.

4.3 The user may be recommended ayurvedic Medicines and the User shall follow the recommended medications and their use protocols for best results. The User may procure them in accordance with clause 3.3 of this term.

5. USER/CLIENT RESPONSIBILITIES:

5.1 You agree to assume full responsibility for the following:

5.1.1 Providing Accurate Information: You are responsible for providing accurate, complete, and updated personal information (as per the customer assessment form we use) at the time of consultation this includes pulse rate, blood pressure levels, work profile, any medical history including ongoing medicines for proper delivery of Services.

5.1.2 Availability and Accessibility: You must ensure your availability for scheduled Consultation and Therapy sessions. The Consultation may happen offline at the clinic of the Entity in Hyderabad. The User may opt to take online Consultation via whats app calls or google meet as agreed by Us and the User.

5.1.3 Timely Communication: You shall promptly respond to the communications, from the Entity including scheduling confirmations, rescheduling Therapy sessions or any other matters thereto.

5.1.4 Payment Obligations: You are responsible for fulfilling payments as per the agreed terms. This may include full upfront payment or required payments as per the desired Services.

5.1.5 The user undertakes and understand that the Services provided by the Entity are based on Ayurvedic science and the results may vary from person to person. In rare cases, if the underlying conditions are not revealed by the User or based on the body types, there may be allergic / adverse reactions for the medication suggested by us, or the therapy material being used. Furthermore, the User also undertakes that the results from the Services are gradual as they are natural and requires the User to strictly adhere to the guidelines provided by the Doctors.

5.1.5.1 The User further undertakes to not hold the Entity accountable for the slow change in health or gradual change in health of the User / perceived no change in the health conditions, or for adverse reactions if any.

5.2 Exclusions:

5.2.1 Therapy Sessions: The Consultation fees does not include the fees for Therapy sessions. The fees for therapy is required to be paid separately after the Doctor’s consultation depending on the recommended Therapy

5.2.2 Travel and Accommodation: The User shall bear all costs regarding the Travel and Accommodation the User’s clinic for availing the Therapy sessions or consultations as the case may be. The Entity is not liable for any such costs incurred by the User.

5.2.3 Medicines: The User shall procure the medicine separately of the Consultation or therapy fees. Neither the Therapy fee nor the Consultation fees includes the cost of recommended Medicines.

6. ENTITY’S OBLIGATION

6.1 We undertake that all the Doctors providing consultation services hold the necessary degree (BAMS/MAMS) and skills to provide Consultation Services.

6.2 We further undertake that all Therapists providing Therapy session possess the necessary skills for providing all such Therapy sessions recommended by the Doctor.

7. PROHIBITED ACTIVITIES

You agree not to engage in any of the following activities while engaging with The Entity:

7.1 Misrepresentation: Providing false, misleading, or incomplete information regarding pulse rate, blood pressure levels, work profile, or any medical history, which may adversely affect delivery of Services.

7.2 Service or Session disruption: Interrupting, obstructing, or intentionally delaying Consultation or Therapy sessions.

7.3 Non-Compliance with Platform or Communication Protocols: The Users are required to strictly adhere to the protocols provided at the site delivering Therapy sessions and during the Consultation.

7.4 Damage to Reputation: Engaging in any activity that may damage or tarnish the reputation of the Entity, including false claims, defamatory remarks, or unauthorized use of the Entity’s name or logo.

7.5 Breach of Agreement: Violating any applicable laws, regulations, or these Terms and Conditions, including but not limited to failure to make payments as agreed or misuse of Services provided.

8. PRIVACY POLICY

Refer to the Privacy Policy under a separate page of the website.

9. FEES AND PAYMENTS

9.1 Consultation Fees: The Entity requires the payment of required fee by the User for scheduling the first Consultation for the User and the fees for any subsequent Therapy Sessions or Consultation beyond 15 days.

9.1.1 The fee for Therapy sessions shall be informed to the User depending upon the recommendations of the Doctor post the Consultation.

9.1.2 Any fees paid by the User for Consultation does not include the therapy or Medicine fees. Similarly any fees paid for Therapy does not include the cost of Medicines. All the listed Services are separate and the fees for each shall be borne separately by the User.

9.2. Terms of Payment:

9.2.1. Payment Methods: Payments may be made via net banking UPI, debit/credit card, or any other authorized digital payment method or in Cash. International clients may pay via bank transfers or authorized international payment gateways.

9.2.2. Payment Schedule:

9.2.3 The Fee required for availing Consultation or the procuring of Medicines are to be paid 100% in advance. However, regarding the Therapy, payments be made as indicated in Clause 3.2.

9.2.4 By providing payment information, you authorize the Entity to charge your designated payment method for the agreed-upon fees.

10. DELIVERY AND DEPLOYMENT

10.1. All the Consultations if offline shall take place at the Entity’s clinic at Hyderabad. The online Consultation shall take place via whats app or google meet as agreed by the User and Us.

10.2. The Therapy sessions shall be availed offline at our clinic located in Hyderabad.

10.3. We can help procure medicines for you, subject to availability from third parties and payment of costs.

11. LIMITATION OF LIABILITY:

To the fullest extent permitted by law, We shall not be liable for:

11.1. Damages from Use or Inability to Use the Products and Services: Any damages arising from your use or inability to use the products and services provided by Us, whether due to errors, omissions, interruptions, defects, delays in operation or transmission, or any other form of harm or loss.

11.2. Third-Party Claims: Any claims, damages, losses, or liabilities arising from any third-party products, services, or content accessed or used in connection with the products and services provided by Us.

11.3. Force Majeure: Any damages arising from events beyond the reasonable control of the Entity, including but not limited to acts of God, war, strikes, labour disputes, shortages of materials, and other similar events.

12. INDEMNIFICATION

12.1. You agree to indemnify, defend, and hold harmless the Entity, its affiliates, officers, directors, employees, agents, contractors, and representatives (collectively referred to as the “Indemnified Parties”) from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from:

12.2 Breaches of These Terms: Your breach of these Terms and Conditions, including any applicable policies.

12.3 Violations of Laws or Third-Party Rights: Your violation of any applicable laws, regulations, or third-party rights.

12.4 Client/User Content: Any content, feedback, or information you provide, upload, or share via the Entity’s website, social media, or other communication platform that may cause harm or liability.

13. DISPUTE RESOLUTION

13.1. In the event of any dispute, claim, or controversy (collectively referred to as “Dispute”) arising out of or in connection with these Terms and Conditions, your enrollment, service usage, or Company’s website and services, the parties agree to first attempt to resolve the Dispute internally. Each party agrees to notify the other party in writing of the Dispute within 30 business days after the party becomes aware of the Dispute. The parties shall then endeavor to resolve the Dispute through good faith discussions and negotiations.

12.2. Amicable Mediation and Negotiation: If the Dispute is not resolved internally within 60 business days from the date of the initial written notice, the parties agree to engage in amicable mediation and negotiation. The mediation shall be conducted by a mutually agreed-upon mediator, who shall be a neutral third party with relevant experience in the field. The mediation process shall be governed by the rules of the Mediation Act, 2023 (or applicable law in force). The parties shall bear their own costs related to the mediation process, except as otherwise agreed in writing.

12.3. Arbitration: If the Dispute is not resolved through mediation and negotiation within 90 business days from the date of the initial written notice, the Dispute shall be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted in English and shall be held in India. The number of arbitrators shall be Three (3), each party shall appoint 1 arbitrator each and those both arbitrators shall be mutually agreed to appoint 1 arbitrator or, in the absence of mutual agreement, appointed by the Court of Hyderabad, Telangana. The decision of the arbitrator shall be final and binding on the parties and enforceable in any court of competent jurisdiction.

12.4. Litigation: If any Dispute remains unresolved through the above processes, the Dispute shall be resolved through litigation in the courts located in Hyderabad, Telangana, India. The courts in Hyderabad, Telangana, shall have exclusive jurisdiction over any Dispute arising out of or in connection with these Terms and Conditions or the use of the Software.

13. GOVERNING LAW

13.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. Any disputes arising from or in connection with these Terms and Conditions, including any dispute related to the interpretation, validity, performance, breach, or termination thereof, shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.

14. AMENDMENT

14.1. The Entity reserves the right to update or modify these Terms and Conditions at any time and from time to time, in its sole discretion.

16. DISCLAIMER

16.1. The Platform and the Services, features, offerings, information, and content available on it available on an ‘as is’ and ‘as available’ basis. The Entity disclaims any and all warranties, whether express or implied, including without limitation warranties of merchantability, non- infringement, or fitness for a particular purpose except for those warranties that cannot be excluded under applicable laws. The Entity does not guarantee any specific results from the usage of the Platform or Services.

16.2. The Entity provides no warranty that:

16.2.1 The Services will be uninterrupted and free.

16.2.2 The Services will meet your requirement.

16.2.3 Accuracy or reliability of the results that may be obtained from the use of Services.

16.2.4 The quality of Services, information, or other material obtained by you from or through the Platform will meet your expectation.

16.3. The Entity, its proprietor, Doctors, Therapists, employees, affiliates, or agents shall not be liable, whether in contract or tort in any manner whatsoever for a) any interruptions in the Services; b) delay in access or interruptions on the Platform; c) loss, theft, non-delivery, destruction, corruption, of data; d) any loss or damage incurred as a result of your access or usage of the Platform; e) the occurrence of any viruses, malfunctions, system failures, technical problems in connection with the Platform; f) inaccuracies or omission in the content; g) any other event beyond the control of the Entity.

16.4. The Platform does not charge any registration or browsing fee; however, the User is required to pay to avail Services as stipulated under this Terms of Use. The Entity reserves the absolute right and discretion to modify, amend, or update the terms from time to time, with or without notice to the Users, which shall become effective immediately after posting the same on the Platform and shall form a part of the Terms of Use. Your continued use of the Platform shall be deemed as an acceptance of the amended or modified Terms of Use.

16.5. In order to render Services, the Entity may be required to enter into arrangements or agreements with third-party payment gateways, facilitators, or processors for collection, refund, remittance, or payment made by you on the Platform. The Company hereby disclaims all warranty in respect of any of the Services brought to You by the third-party service providers.

16.6. The Entity shall assume no liability whatsoever in respect of any loss or damage arising directly or indirectly to you or any third-party due to:

16.6.1 Lack of authorization for any transaction.

16.6.2 Illegitimacy of the payment method (including debit/credit card fraud) being used by you.

16.6.3 Lack of authorization for any transaction made using the Platform.

16.6.4 The decline of transactions by issuing Bank for any other reason whatsoever.
